1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern the supply of goods and services provided by GreenNest Poultry Solutions Ltd (referred to as “GreenNest Poultry Solutions Ltd”, “we”, “us”, or “our”) to customers, clients, trade account holders, wholesalers, caterers, and other business customers (referred to as “you” or “your”).
By placing an order, opening a trade account, accessing our services, accepting a quotation, or otherwise engaging with our goods or services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you must not use our services or place any order with GreenNest Poultry Solutions Ltd.
These Terms apply to all dealings between you and GreenNest Poultry Solutions Ltd unless expressly varied in writing and signed by an authorised representative of GreenNest Poultry Solutions Ltd.
2. Scope of Services
GreenNest Poultry Solutions Ltd operates a poultry business supplying fresh poultry products and related services, including but not limited to:
- Fresh poultry supply;
- Whole chicken and portioned cuts;
- Custom packaging and labeling;
- Bulk supply for catering and wholesalers;
- Chilled storage and distribution;
- Product sourcing for seasonal demand; and
- Trade account support.
All products and services are subject to availability, seasonality, supply chain conditions, regulatory requirements, and any applicable minimum order quantities or trade terms. We reserve the right to amend product ranges, packaging options, sourcing arrangements, delivery schedules, and service availability at any time.
Unless expressly agreed otherwise in writing, all products are supplied for business use and trade purposes only. You are responsible for ensuring that the products you order are suitable for your intended purpose, handling processes, storage, and onward sale or service.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and up-to-date information when placing orders, opening trade accounts, or otherwise communicating with us;
- Ensure that any person placing orders on your behalf has authority to do so;
- Comply with all applicable laws, regulations, codes of practice, food safety requirements, and hygiene standards relevant to the receipt, storage, transport, preparation, sale, and service of poultry products;
- Maintain appropriate cold chain conditions and refrigeration from the point of delivery or collection onward;
- Inspect goods promptly upon receipt and notify us of any issues in accordance with these Terms;
- Use our products only for lawful purposes and in accordance with any product information, handling instructions, or shelf-life guidance provided by us or the manufacturer/supplier;
- Not repackage, relabel, adulterate, misrepresent, or incorrectly market products supplied by us; and
- Promptly inform us of any change to your contact details, billing details, delivery instructions, or trading status.
You acknowledge that poultry is a perishable food product and requires strict handling. Any failure by you to store, handle, transport, or use the products properly may affect safety, quality, and shelf life, and we will not be responsible for losses resulting from your failure to comply with these obligations.
4. Payment Terms and Conditions
Prices for goods and services will be as stated in our quotation, order confirmation, price list, or trade account agreement, or otherwise as notified to you from time to time. All prices are subject to change without notice unless a fixed price has been agreed in writing.
Unless stated otherwise, prices are exclusive of VAT and any other applicable taxes, duties, levies, charges, or delivery fees, which will be added where required by law or applicable commercial arrangements.
Payment terms may include immediate payment, advance payment, payment on delivery, or trade credit terms approved by GreenNest Poultry Solutions Ltd at our sole discretion. Where trade credit is granted:
- Invoices must be paid in full by the due date stated on the invoice or account statement;
- We may suspend supply, deliveries, or account privileges if payment is overdue;
- We may charge interest on late payments at the maximum lawful rate permitted under applicable law, accruing daily from the due date until payment is received in full;
- You are responsible for all reasonable costs incurred by us in recovering overdue sums, including administrative costs, collection costs, and legal fees where permitted by law.
We may set off any sums owed by us to you against any sums owed by you to us, to the extent permitted by law. We reserve the right to review, reduce, withdraw, or refuse trade credit at any time.
5. Cancellation and Refund Policy
Because our products include fresh and perishable poultry items, cancellations may be restricted once an order has been accepted, processed, prepared, packed, dispatched, or otherwise committed to supply.
Subject to applicable law and any specific written agreement, the following terms apply:
- Cancellations must be requested as soon as possible and will only be effective if confirmed by us in writing;
- Orders for perishable goods may not be cancellable once preparation or sourcing has begun;
- Custom packaging, labeling, sourced products, and special orders may be non-cancellable and non-refundable once approved or commenced;
- Refunds or replacements will only be provided where goods are confirmed by us to be defective, incorrectly supplied, damaged on delivery where the damage is attributable to us or our carrier, or otherwise not in accordance with the order;
- Any claim for missing items, damage, or quality concerns must be made promptly upon receipt, with supporting evidence such as photographs and delivery records; and
- Where a refund is approved, it will ordinarily be made using the original payment method or by account credit, at our discretion, unless otherwise required by law.
We shall not be liable to refund or replace goods where the issue arose due to your handling, storage, delay in refrigeration, improper transportation, misuse, or failure to inspect promptly upon delivery or collection.
6. Liability Limitations
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be limited under applicable law.
Subject to the above, GreenNest Poultry Solutions Ltd shall not be liable for:
- Loss of profit, loss of business, loss of revenue, loss of opportunity, or loss of goodwill;
- Indirect, consequential, or special losses;
- Losses arising from your failure to store, handle, transport, prepare, or sell products correctly;
- Losses caused by inaccurate information provided by you;
- Delays or failures caused by third-party carriers, suppliers, or manufacturers beyond our reasonable control;
- Any contamination, spoilage, or deterioration occurring after delivery or collection unless directly caused by our proven breach of duty; or
- Any claim relating to product use that is inconsistent with guidance, labels, or lawful industry practice.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any order, supply, or service shall be limited to the amount paid by you for the specific goods or services giving rise to the claim.
You acknowledge that the pricing of our goods and services reflects these limitations and exclusions.
7. Intellectual Property Rights
All intellectual property rights in and to our website content, branding, logos, product descriptions, templates, packaging designs created by us, documents, trade materials, and other materials supplied by or on behalf of GreenNest Poultry Solutions Ltd remain our property or the property of our licensors.
You may use our materials only for the purpose of receiving, reselling, promoting, or handling our goods in accordance with your lawful business operations and only to the extent expressly authorised by us in writing or reasonably necessary for business use.
You must not copy, modify, reproduce, distribute, reverse engineer, decompile, remove proprietary notices from, or create derivative works from our intellectual property without our prior written consent, except where permitted by law.
If we create custom labels, packaging layouts, or trade materials for you, ownership and permitted use of such materials will be as set out in a separate written agreement or, if none exists, they may only be used for the specific supply arrangement for which they were created.
8. Data Protection and Privacy
GreenNest Poultry Solutions Ltd processes personal data in connection with account administration, order processing, invoicing, delivery, customer support, compliance, and business communications. We will handle personal data in accordance with applicable data protection and privacy laws.
Where we collect, use, store, disclose, or otherwise process personal data, we will do so for legitimate business purposes, including:
- Managing orders and accounts;
- Communicating about deliveries, products, and services;
- Processing payments and preventing fraud;
- Meeting legal, tax, and regulatory obligations;
- Improving our services and maintaining records; and
- Handling disputes, complaints, and enforcement actions.
You confirm that any personal data you provide to us is accurate and that you have the necessary authority and lawful basis to share such data with us where required. Where we act as a data processor or controller in relation to any personal data, the nature of that relationship will be determined by the context and any separate written agreement between the parties.

9. Force Majeure
GreenNest Poultry Solutions Ltd shall not be liable for any failure or delay in performing our obligations where such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to:
- Fire, flood, storm, severe weather, or natural disaster;
- War, terrorism, civil disorder, riot, strike, labour dispute, or industrial action;
- Shortages of supply, contamination incidents, disease outbreaks affecting poultry, or restrictions imposed by suppliers or regulators;
- Transport failures, road closures, accidents, or distribution disruptions;
- Power failure, refrigeration failure not caused by our negligence, or utility interruptions;
- Cyber incidents, system outages, or telecommunications failures; and
- Any act or omission of a third party outside our reasonable control.
Where a force majeure event occurs, our obligations will be suspended for the duration of the event. We will use reasonable efforts to mitigate the effects of the event and resume performance as soon as practicable. If the event continues for an extended period, either party may, after reasonable notice, seek to cancel affected orders to the extent permitted by law.
10. Changes to Terms
GreenNest Poultry Solutions Ltd may update, amend, or replace these Terms at any time by publishing the revised version or by giving notice to you through reasonable communication channels. The updated Terms will apply from the date stated in the revised version or, if no date is stated, from the time they are communicated or published.
Your continued ordering, use of services, or maintenance of a trade account after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services and notify us promptly.
11. Applicable Law and Jurisdiction
These Terms, and any dispute, claim, or matter arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales, unless mandatory law provides otherwise.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter, or formation, except where mandatory consumer or other applicable law provides for another forum or jurisdiction.

13. Severability Clause
If any provision of these Terms is held by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable, or if such modification is not possible, it shall be severed from the Terms.
The remaining provisions shall continue in full force and effect. Any failure or delay by GreenNest Poultry Solutions Ltd to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
